Terms of Service

These Terms of Service (the “Terms”) form a binding legal agreement between you (“you”, “your”, or the “Customer”) and Streamalytix (“Streamalytix”, “we”, “us”, or “our”) governing your access to and use of the Streamalytix websites, web application, APIs, integrations, mobile interfaces, and related services (collectively, the “Service”). By creating an account, clicking “I agree,” accessing the Service, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service.

Important notice. These Terms include limitations on our liability, disclaimers of warranties, an arbitration agreement, and a class-action waiver that affect your legal rights. Please read them carefully.

1. Definitions

“Account” means the account you create to access the Service. “Authorized User” means an individual you authorize to use the Service under your Account, such as a teammate, host, manager, or contractor. “Customer Data” means any data, content, files, transactions, inventory records, host records, messages, or other information that you or your Authorized Users submit to, store in, or generate through the Service. “Documentation” means the user guides, in-product help, and policy pages we make available. “Subscription” means the paid or trial plan under which you access the Service.

2. Eligibility and account registration

You must be at least eighteen (18) years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization.

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for safeguarding your password and for any activity that occurs under your Account. You must notify us immediately at security@streamalytix.com if you suspect unauthorized access. We are not liable for any loss arising from your failure to maintain the security of your credentials.

3. License and right to use the Service

Subject to your continued compliance with these Terms and payment of applicable fees, Streamalytix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the term of your Subscription.

You agree that you will not, and will not permit any Authorized User or third party to:

4. Subscriptions, trials, and billing

The Service is offered on a subscription basis. Pricing, billing intervals, included features, and usage limits for each plan are described in our pricing page or in your order form, and they may change from time to time. By selecting a paid plan, you authorize us and our payment processor to charge your payment method on a recurring basis (monthly, annually, or as otherwise specified) at the then-current rates plus any applicable taxes, fees, and surcharges, until you cancel.

Trials. If we offer a free trial, the trial period and conditions will be described at sign-up. Unless you cancel before the trial ends, your Account will automatically convert to the paid plan you selected and your payment method will be charged. We may modify or end trial offers at any time.

Taxes. Fees are exclusive of all taxes, levies, duties, and similar governmental assessments (collectively, “Taxes”). You are responsible for paying all Taxes associated with your purchases, excluding taxes based on Streamalytix's net income.

Late payment. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum amount permitted by law. We may suspend or terminate the Service if any fee is more than ten (10) days overdue, after providing reasonable notice.

Price changes. We may change our pricing by giving you at least thirty (30) days' notice before the change takes effect for your next renewal term. If you do not agree, you may cancel prior to the next renewal.

5. Refunds, cancellation, and downgrades

You may cancel your Subscription at any time from your billing settings. Cancellation takes effect at the end of the then-current billing period and you will retain access through that period. Except where required by law or expressly stated otherwise, all fees are non-refundable, and we do not provide refunds or credits for partially used periods, downgrades, or unused features.

6. Customer Data and ownership

As between you and Streamalytix, you retain all right, title, and interest in and to Customer Data. You hereby grant Streamalytix a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, and otherwise use Customer Data solely to (i) provide, maintain, secure, and improve the Service for you, (ii) prevent or address service, security, or technical issues, (iii) comply with law or binding legal process, and (iv) enforce these Terms.

You represent and warrant that (a) you have all rights, consents, and permissions necessary to submit Customer Data to the Service and to grant the license above, and (b) Customer Data, and our use of it in accordance with these Terms, will not infringe, misappropriate, or violate the rights of any third party or any applicable law. You are solely responsible for the accuracy, quality, integrity, legality, and reliability of Customer Data and for obtaining any consents required from your customers, hosts, or end users.

Aggregated data. We may generate de-identified, aggregated statistical and analytical information from Customer Data and from use of the Service (“Aggregated Data”) and may use such Aggregated Data for any lawful business purpose, including benchmarking, analytics, and improving our products, provided that the Aggregated Data does not identify you or any individual.

7. Third-party platforms and integrations

The Service connects with third-party platforms such as live-selling marketplaces, payment processors, messaging providers, and analytics tools (each, a “Third-Party Service”). When you enable a Third-Party Service, you authorize Streamalytix to access, transmit, and store information from that Third-Party Service as necessary to provide the Service. Your use of any Third-Party Service is governed by its own terms and privacy practices, and Streamalytix is not responsible for the availability, accuracy, content, or practices of any Third-Party Service. A Third-Party Service may modify or discontinue its APIs at any time, and we may suspend related features as a result.

8. Acceptable use

You agree not to use the Service to:

You are solely responsible for any SMS, email, or other messages you send through the Service, including obtaining the consents required by law and honoring opt-out requests.

9. Workspace users, hosts, and seats

You may invite Authorized Users such as teammates, hosts, packers, or managers to your workspace, subject to seat limits in your plan. You are responsible for (a) the acts and omissions of your Authorized Users, (b) ensuring that each Authorized User complies with these Terms, and (c) promptly removing Authorized Users who no longer require access. You must not allow more individuals than your seat allotment to use the Service, and you must not allow a single seat to be shared among multiple individuals.

10. Confidentiality

Each party may receive non-public information of the other that is designated as confidential or that a reasonable person would understand to be confidential (“Confidential Information”). Each party agrees to (a) use the other's Confidential Information only to exercise rights or perform obligations under these Terms, and (b) protect it using the same degree of care it uses to protect its own confidential information of like importance, and in any event no less than a reasonable standard of care. Confidential Information does not include information that is publicly available through no fault of the receiving party, was rightfully known prior to disclosure, was rightfully obtained from a third party, or was independently developed. A party may disclose Confidential Information if required by law, provided that, where lawful, it gives the other party reasonable prior notice.

11. Intellectual property and feedback

As between the parties, Streamalytix and its licensors own all right, title, and interest in and to the Service, the Documentation, and all improvements, modifications, and derivative works thereof, including all intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms. The Streamalytix name, logos, and product names are trademarks of Streamalytix, and no right or license is granted to use them without our prior written consent.

If you submit any suggestions, ideas, enhancement requests, or other feedback (“Feedback”), you grant Streamalytix a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, modify, and incorporate the Feedback into the Service or other products without obligation to you.

12. Beta features and previews

From time to time, we may make alpha, beta, or other pre-release features available (“Beta Features”). Beta Features are provided “as is,” may contain bugs, may be modified or discontinued at any time, and are excluded from any service-level commitments and from the indemnities and warranties in these Terms. Your use of Beta Features is voluntary.

13. Service availability and support

We strive to keep the Service available and performant but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, force majeure, Third-Party Service failures, or other factors outside our reasonable control. Support is provided through the channels described in your plan or in-product help.

14. Security

Streamalytix maintains administrative, technical, and physical safeguards designed to protect the security and confidentiality of Customer Data, as further described in our Privacy Policy. You are responsible for configuring the Service appropriately for your environment, managing Authorized User access, and securing the devices and networks from which you access the Service.

15. Suspension and termination

We may suspend or terminate your access to all or part of the Service, with or without notice, if (a) you breach these Terms, (b) you fail to pay fees when due, (c) we reasonably believe your use poses a security, legal, or operational risk to us, our users, or third parties, or (d) required by law or by a Third-Party Service. You may terminate your Account at any time as described in Section 5. Upon termination, your right to access the Service ceases immediately, and provisions that by their nature should survive (including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

16. Data export and deletion

During an active Subscription, you may export Customer Data through the in-product export tools or APIs that we make available for your plan. Following termination or expiration of your Subscription, we may retain Customer Data for a limited period (typically up to ninety (90) days) to allow for reactivation or export, after which we will delete Customer Data from production systems in the ordinary course, subject to backup retention and legal-hold requirements. We have no obligation to retain Customer Data thereafter.

17. Disclaimers

THE SERVICE, INCLUDING ALL CONTENT, FEATURES, ANALYTICS, REPORTS, BENCHMARKS, AND OUTPUTS, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STREAMALYTIX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; or that analytics, profit calculations, payroll figures, inventory counts, forecasts, or other outputs will be accurate, complete, or suitable for any particular purpose. You are responsible for verifying outputs before relying on them for tax, accounting, payroll, legal, or financial decisions. The Service is not a substitute for professional advice.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STREAMALYTIX OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

STREAMALYTIX'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO STREAMALYTIX FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

The foregoing limitations apply to the maximum extent permitted by law, even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

19. Indemnification

You will defend, indemnify, and hold harmless Streamalytix and its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Customer Data, (b) your or your Authorized Users' use of the Service, (c) your violation of these Terms or any applicable law, or (d) your violation of any rights of a third party, including intellectual property, privacy, publicity, or contractual rights.

20. Governing law, arbitration, and class waiver

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflicts-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally within sixty (60) days will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, in the English language, with the seat in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in court to protect its intellectual property or Confidential Information.

Class-action waiver. You and Streamalytix each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Streamalytix each waive any right to a jury trial.

Thirty-day opt-out. You may opt out of the arbitration and class-action waiver provisions of this Section by emailing legal@streamalytix.com within thirty (30) days of first accepting these Terms, including your name, Account email, and a clear statement that you wish to opt out.

21. Export, sanctions, and government users

You represent that you are not located in, and will not access or use the Service from, any country or region subject to comprehensive U.S. embargoes, and that you are not listed on any U.S. government restricted-party list. You agree to comply with all applicable export control and sanctions laws and regulations. The Service is “commercial computer software” as defined in 48 C.F.R. §§ 2.101 and 12.212. If used by U.S. government end users, the Service is provided with only those rights granted to all other end users under these Terms.

22. Changes to the Service or Terms

We may modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or through the Service) before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service and may cancel your Subscription as described above.

23. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any order forms or written agreements signed by both parties, constitute the entire agreement between you and Streamalytix and supersede all prior or contemporaneous understandings.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, war, terrorism, civil disturbance, labor disputes, power or network failures, denial-of-service attacks, or Third-Party Service outages.
Independent contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
Notices. We may provide notices by email to the address associated with your Account or through the Service. You must send notices to Streamalytix at legal@streamalytix.com.
